These Terms of Service ("Terms") govern your access to and use of Lia, operated by SM Innovations LLC ("we", "us", "Lia"), including trylia.ai, related mobile applications, browser extensions, and desktop software. By creating an account or using the service you agree to be bound by these Terms.
You must be a licensed mortgage professional or an employee/contractor of a licensed mortgage company to use Lia for production purposes. You represent that you have the legal authority to bind yourself or your organization to these Terms.
We grant you a limited, non-exclusive, non-transferable license to use Lia for your internal business purposes. You may not reverse-engineer, resell, sublicense, or create derivative products from Lia. You are responsible for all activity that occurs under your account.
You are solely responsible for ensuring your use of Lia complies with all applicable laws and regulations, including but not limited to the Telephone Consumer Protection Act (TCPA), the Gramm-Leach-Bliley Act (GLBA), the Fair Housing Act, and applicable state mortgage licensing laws. You must obtain all required consents before initiating communications with borrowers or leads through the platform. SM Innovations provides compliance tools but does not verify individual consent records or guarantee regulatory compliance on your behalf.
You may not use Lia to transmit spam, harass individuals, engage in deceptive lending practices, violate any person's privacy, circumvent do-not-call registries, or engage in any activity that violates applicable law. We reserve the right to suspend or terminate accounts that violate these restrictions.
Your use of borrower and lead data within Lia is governed by our Privacy Policy. You retain ownership of data you upload to Lia. By using the service you grant SM Innovations the right to process that data as necessary to deliver the service.
Paid plans are billed monthly or annually as selected. All fees are non-refundable except as required by law. We may change pricing with 30 days' written notice. Failure to pay may result in suspension of your account.
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. SM INNOVATIONS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FULLY SECURE. AI-GENERATED CONTENT (TRANSCRIPTIONS, SUMMARIES, LEAD SCORES) IS FOR INFORMATIONAL PURPOSES AND MAY CONTAIN ERRORS; YOU ARE RESPONSIBLE FOR VERIFYING ITS ACCURACY BEFORE ACTING.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SM INNOVATIONS' TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE FEES YOU PAID IN THE THREE MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES.
You agree to indemnify and hold harmless SM Innovations from any claims, damages, or fines arising from your use of the platform to initiate communications, including any TCPA violations resulting from your failure to obtain proper prior express written consent.
Either party may terminate these Terms at any time. We may suspend or terminate your account immediately for violations of these Terms. Upon termination you may request an export of your data within 30 days; after that period data may be deleted.
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Disputes shall be resolved through binding arbitration under JAMS rules, with proceedings conducted in Orange County, California.
We may modify these Terms at any time. Material changes will be communicated at least 14 days in advance. Continued use of the service after the effective date constitutes acceptance of the revised Terms.
